These Terms & Conditions ("Terms") govern your access to and use of the website https://www.pro-xplosion.com(the "Site") operated by PRO XPLOSION. ("we", "us", "our"). By accessing or browsing the Site, submitting an inquiry, or entering into a business relationship with us, you ("you", "Buyer", "User") agree to be bound by these Terms.
If you do not agree with any part of these Terms, please discontinue use of the Site.
1. Business Nature — B2B Only
This Site is intended exclusively for business-to-business (B2B) commercial purposes. All products displayed — including consumer and professional display fireworks — are supplied for resale, professional display use, or authorized commercial distribution only, not for personal/retail consumer purchase by individuals.
You represent and warrant that you are:
Acting in the capacity of a business entity or authorized professional buyer; and
At least 18 years of age and have legal authority to bind your company to these Terms.
2. Website Use & Acceptable Conduct
You agree to use the Site lawfully and not to:
Upload, transmit, or distribute any viruses, malware, or harmful code;
Attempt to gain unauthorized access to our systems or data;
Scrape, harvest, or copy Site content for competitive purposes;
Use the Site to send unsolicited commercial communications (spam);
Post or link to defamatory, obscene, or illegal material.
We reserve the right to suspend or block access to the Site at our discretion if you violate these provisions.
3. Intellectual Property
All content on the Site — including but not limited to text, product names, logos, images, videos, graphics, catalogues, and design — is the property of Liuyang Pro Xplosion Fireworks Co., Ltd. or its licensors and is protected by Chinese and international copyright, trademark, and trade secret laws.
You are granted a limited, non-exclusive, non-transferable license to view and download content from the Site solely for internal business evaluation purposes. No part of the Site may be reproduced, republished, modified, distributed, or used for commercial purposes without our prior written consent.
Custom/OEM designs developed under a separate written agreement shall be governed by that agreement's IP clause.
4. Product Information, Samples & Variations
Product descriptions, images, specifications, and performance claims are for reference only. Minor variations in color, effect, size, packaging, or labeling may occur due to batch production or raw material differences — these do not constitute defects.
Samples provided represent quality benchmarks but are not exact replicas of bulk production lots.
Fireworks effects are inherently variable and dependent on storage conditions, atmospheric factors, and proper ignition/handling. Visual depictions (photos/videos) are illustrative and do not guarantee identical results in every display.
5. Inquiries, Quotations & Formation of Contract
Product listings and price indications on the Site are invitations to treat, not binding offers.
A quotation issued by us is valid for the period stated therein (typically 30 days) and may be withdrawn if raw material costs, exchange rates, or regulatory conditions change materially.
A binding sales contract is formed only upon our written order confirmation (by email or signed proforma invoice), regardless of prior correspondence or inquiry submission.
We reserve the right to decline any order or inquiry at our discretion, including for compliance, sanctions, or credit reasons.
6. Pricing, Payment & Taxes
All prices are quoted in USD unless otherwise stated and exclude import duties, VAT/GST, customs clearance fees, and destination delivery charges unless expressly included in writing.
Payment terms (e.g., T/T deposit, Letter of Credit) are specified in the quotation or order confirmation. Bank charges and intermediary fees are borne by the Buyer.
Prices may be adjusted for firm orders with delivery dates exceeding three months from order date, subject to verified cost fluctuations.
7. Delivery, Risk & Title (Incoterms®)
Delivery terms follow the Incoterms® 2020 agreed in writing (commonly FOB Ningbo / Shanghai or CIF named port).
Risk of loss or damage passes to the Buyer in accordance with the agreed Incoterm.
Title (ownership) to goods remains with us until full payment has been received.
Delivery dates are estimates; delays caused by carriers, ports, or force majeure do not constitute a breach.
8. Inspection, Claims & Warranty (B2B)
The Buyer shall inspect goods promptly upon arrival. Claims for shortage, damage, or non-conforming goods must be notified in writing within 14 days of delivery, accompanied by photographic evidence.
Our warranty covers manufacturing defects apparent under normal storage and handling. Liability is limited to replacement of defective goods or credit of the invoice value of the affected items, at our option.
No returns are accepted for custom/OEM/private-label orders except where a manufacturing defect is proven.
Except as expressly provided, all implied warranties (including fitness for a particular purpose) are excluded to the maximum extent permitted by law — B2B buyers are deemed knowledgeable regarding applicable fireworks standards in their jurisdiction.
9. Fireworks Safety Disclaimer & Regulatory Compliance
Pyrotechnic products are hazardous materials and must be stored, transported, handled, and discharged in strict compliance with:
Applicable national/federal, state/provincial, and local laws in the Buyer's country;
Relevant safety standards (e.g., EN 14035, US DOT/ATF regulations, local display licensing requirements).
We disclaim all liability for injury, death, property damage, fines, or losses arising from:
Improper storage, mishandling, or unauthorized modification of fireworks;
Unlicensed or illegal use/discharge of pyrotechnic products;
Failure to comply with local regulations regarding import, classification, or display.
It is the Buyer's sole responsibility to ensure legality of import, possession, and use of our products in the destination country. We are not liable for customs seizure, rejection, or delays due to non-compliance with local import regulations.
10. Export Controls & Sanctions
We comply with applicable Chinese export control laws and international sanctions. You represent and warrant that:
You are not listed on any denied/restricted party list (e.g., U.S. OFAC SDN List, EU/UN sanctions lists);
Products will not be re-exported, transshipped, or used in embargoed countries or for prohibited end uses (including military applications).
We reserve the right to cancel any transaction that would violate applicable export controls or sanctions regimes.
11. Electronic Communications & Privacy
By submitting an inquiry or quote request via the Site, you consent to us contacting you by email, phone, or messaging app for the purpose of:
Responding to your inquiry and providing quotations;
Discussing samples, production, logistics, or related business matters.
Our collection and processing of your personal data is governed by our Privacy Policy and Cookie Policy, which form part of your agreement with us when using the Site.
12. Limitation of Liability
To the fullest extent permitted by applicable law:
Our total aggregate liability arising out of any order or use of the Site shall not exceed the total amount paid or payable by you for the specific goods or services giving rise to the claim.
We shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, loss of business opportunity, or third-party claims, even if advised of the possibility.
Nothing in these Terms excludes liability that cannot be excluded by law (e.g., death or personal injury caused by our gross negligence or fraud).
13. Force Majeure
We shall not be liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to: acts of God, fire, flood, epidemic/pandemic, war, civil unrest, government restrictions, port congestion, carrier strikes, raw material shortages, or supplier failures. Affected obligations shall be suspended for the duration of the event, and we will notify you to discuss reasonable alternatives.
14. Governing Law & Dispute Resolution
These Terms and any B2B transaction between the parties shall be governed by and construed in accordance with the laws of the People's Republic of China, excluding its conflict-of-law rules.
Any dispute, controversy, or claim arising out of or relating to these Terms or a transaction shall first be referred to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to arbitration by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its then-current rules. The seat of arbitration shall be Changsha, Hunan, China; the language shall be English and/or Chinese as agreed.
Notwithstanding the foregoing, either party may seek interim injunctive relief from a competent court to protect its rights pending arbitration.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall apply unless expressly excluded in a separate written sales agreement.
15. Severability & Entire Agreement
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding use of the Site and supersede all prior understandings.
16. Amendments
We may update these Terms from time to time. The revised version will be posted on this page with an updated "Effective Date." Continued use of the Site after changes constitutes your acceptance of the revised Terms.
